Part A · For clients

Client Terms of Service

These Terms govern all services provided by Voxel Labs & Services (“we”, “us”, “the Agency”), an unregistered business run by its founders, Digant Ichchangi and Madan R. Shahapur, located at Navanagar, Bagalkot, Karnataka, India, to any person or business (“Client”). By signing a quotation, paying an invoice, or sharing project material with us, the Client accepts these Terms.

Last updated 12 October 2026

01

Clause 1. Services#

We offer web design and development, deployment and hosting setup, documentation, social media and digital marketing, paid ad management (e.g., Meta and Google), event and band promotion, and promotional video production.

The exact scope, deliverables, timeline and price are stated in the signed quotation or proposal (“Scope”). Anything outside the Scope is a separate paid request.

02

Clause 2. Quotations, Payment and Taxes#

A quotation is valid for 15 days.

Unless the quotation says otherwise, work begins after an advance of 50% of the project fee. The remaining 50% is due on delivery, within 7 days of the delivery invoice. Final files, source access and live handover are released on receipt of the balance.

Recurring services (social media management, retainers, maintenance) are billed monthly in advance.

Fees are quoted without GST. If the Agency becomes registered for GST, GST will be added to invoices issued from that date.

Late payments may attract interest of 1.5% per month. We may pause work or suspend live deliverables until overdue amounts are cleared.

Advances are non-refundable once work has started, as they cover time already reserved and spent. Refunds for undelivered work are at our discretion and pro-rated against work completed.

03

Clause 3. Ad Spend and Third-Party Costs#

Advertising budgets (Meta, Google, etc.), domains, hosting, premium plugins, stock media, fonts, music licences and similar third-party costs are not included in our fees unless stated. The Client pays these directly to the platform or reimburses us at cost. We do not mark up ad spend without disclosing it in writing.

04

Clause 4. No Guarantee of Results#

Marketing outcomes depend on factors outside our control, including platform algorithms, competition, budget, product quality and seasonality. We do not guarantee a specific number of followers, leads, sales, rankings, reach or return on ad spend. We commit to performing the Scope with reasonable skill and care.

05

Clause 5. Client Responsibilities#

The Client will:

  • provide content, logos, brand assets, login access and approvals on time;
  • ensure it owns or has the right to use everything it gives us (text, images, music, videos, trademarks);
  • designate one point of contact for approvals;
  • comply with the rules of any platform we manage on its behalf.

Delays in Client inputs extend timelines and may shift delivery dates without liability to us. If a project stalls for more than 30 days due to the Client, we may treat it as paused and re-quote the remaining work.

06

Clause 6. Revisions and Approvals#

Each deliverable includes 2 rounds of revisions within the Scope. Extra rounds, or changes after final approval, are billed at ₹899 per hour or a fixed quote. Approval by message (WhatsApp, email) counts as written approval.

07

Clause 7. Timelines#

Dates are estimates unless expressly stated as fixed. We are not liable for delays caused by Client inputs, third-party platforms, hosting or DNS providers, outages, or events beyond our reasonable control.

08

Clause 8. Intellectual Property#

  • Client materials remain the Client’s property. The Client grants us a licence to use them to perform the services.
  • Final deliverables (website design, code written specifically for the Client, graphics, edited videos) transfer to the Client only after full payment.
  • We retain ownership of our pre-existing tools, templates, libraries, frameworks and reusable code, and grant the Client a non-exclusive, perpetual licence to use them as part of the deliverable.
  • Third-party and open-source components stay under their own licences.
  • Unless the Client objects in writing, we may display the work, and the Client’s name and logo, in our portfolio, website and social media as a case study. Confidential or unreleased work will be excluded on request.
  • Raw project files, source files and drafts are provided only if stated in the Scope.
09

Clause 9. Hosting, Domains and Maintenance#

Unless agreed otherwise, domains and hosting accounts should be registered in the Client’s name. If we register them on the Client’s behalf, we will transfer them on request after payment.

Post-launch support is limited to 30 days of bug fixes for defects in our own work. Ongoing updates, security patches, backups and content changes require a maintenance plan. We are not responsible for downtime, data loss or security issues caused by third-party hosts, plugins or Client-made changes.

10

Clause 10. Social Media and Ad Account Access#

Where we manage Client accounts, the Client keeps ownership of those accounts. Access is given via official methods (e.g., Meta Business Manager roles), not by sharing personal passwords where avoidable. We are not liable for account restrictions, ad disapprovals or bans caused by platform policy decisions, or by content or products the Client supplies.

11

Clause 11. Video and Creative Production#

Shoots are scheduled in advance. Cancellation or rescheduling with less than 48 hours’ notice may incur a fee.

The Client is responsible for permissions from people, patients, students or staff appearing on camera and for any location permits. Medical, financial or other regulated claims in promotional material are the Client’s responsibility to verify and approve.

12

Clause 12. Confidentiality#

Both parties will keep the other’s non-public business information confidential and use it only for the project. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.

13

Clause 13. Warranties and Limitation of Liability#

Except as stated in these Terms, services are provided “as is” without implied warranties. To the maximum extent permitted by law, our total liability for any claim relating to the services is limited to the fees paid by the Client for the specific service giving rise to the claim in the preceding 3 months.

We are not liable for indirect or consequential loss, loss of profit, loss of data or loss of business opportunity.

14

Clause 14. Indemnity#

The Client will indemnify us against claims, losses and costs arising from content or materials the Client supplies, from the Client’s products or services, or from the Client’s breach of law or these Terms.

15

Clause 15. Termination#

Either party may terminate with 14 days’ written notice. We may terminate immediately for non-payment, abusive conduct, illegal content or material breach.

On termination the Client pays for all work completed and costs incurred up to that date. Sections on payment, IP, confidentiality, liability and governing law survive termination.

16

Clause 16. Force Majeure#

Neither party is liable for failure caused by events beyond reasonable control, including natural disasters, power or internet failure, strikes, government action, platform outages or pandemics.

17

Clause 17. Governing Law and Disputes#

These Terms are governed by the laws of India.

The parties will first try to resolve disputes through good-faith discussion for 30 days, then through arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator seated at Bagalkot. Subject to that, courts at Bagalkot, Karnataka have exclusive jurisdiction.

18

Clause 18. General#

These Terms plus the signed quotation form the entire agreement. If they conflict, the signed quotation prevails. Changes must be in writing. If any clause is unenforceable, the rest continues. We may update these Terms for future engagements by posting a revised version.

Part C · Your data

Privacy Policy

Voxel Labs & Services (“we”) respects your privacy and processes personal data in line with the Digital Personal Data Protection Act, 2023 and other applicable Indian law.

Last updated 12 October 2026

01

Clause 1. Who We Are#

For data collected through our website, enquiries and our own business dealings, we are the Data Fiduciary.

When we handle personal data on a Client’s behalf (for example, a Client’s customers’ details, leads from ad forms, or website user data), the Client is the Data Fiduciary and we act as a Data Processor, under written instructions.

02

Clause 2. Data We Collect#

  • Contact details: name, email, phone/WhatsApp number, business name, address.
  • Project information: briefs, files, logins and content you share with us.
  • Billing information: invoice details, GST number, payment references. We do not store card or UPI PINs; payments run through banks or payment providers.
  • Website data: IP address, device and browser type and the pages requested, which our hosting provider may record in standard server logs. We do not run analytics on this site.
  • Communications: emails, messages, call or meeting notes.
03

Clause 3. Why We Use It#

  • to respond to enquiries and prepare quotations;
  • to deliver, manage and support the services;
  • to invoice and comply with tax and legal obligations;
  • to improve our website and services;
  • to send updates or offers, only with your consent, which you may withdraw anytime.
04

Clause 4. Consent and Lawful Use#

We process personal data on the basis of your consent, for the specific purposes above, or where the law permits processing for legitimate uses such as legal compliance or performing a contract you requested.

You may withdraw consent at any time by emailing us; this will not affect processing done before withdrawal.

05

Clause 5. Cookies and Analytics#

This website does not use advertising cookies, analytics tools or tracking pixels. Two things are worth knowing:

  • Fonts are loaded from Google Fonts, so Google receives your IP address and browser details when a page loads.
  • A few small preferences — for example the sound setting and your best score in our VOXEL RUNNER game — are saved in your browser’s local storage. They stay on your device and are never sent to us.

If we add analytics or tracking pixels in future, we will update this policy first and ask for your consent through a cookie banner before any non-essential tracking starts. You can control cookies and site data through your browser settings at any time.

06

Clause 6. Sharing#

We do not sell personal data. We share it only with service providers needed to deliver our work (hosting, domain registrars, email, analytics, ad platforms, cloud storage, payment providers), with professional advisers, or when required by law or a government authority.

Providers are expected to protect the data appropriately. Some providers may process data outside India.

07

Clause 7. Retention#

We keep personal data only as long as needed for the purposes above or as required by law (for example, tax records for 8 years), then delete or anonymise it. Project files are retained for 12 months after completion unless the Client asks for earlier deletion.

08

Clause 8. Security#

We use reasonable safeguards, including access controls, strong passwords, two-factor authentication where available, and encrypted connections (HTTPS). No system is completely secure, and we will notify affected persons and authorities of a personal data breach as required by law.

09

Clause 9. Your Rights#

You may request to:

  • access a summary of your personal data and how it is processed;
  • correct or update it;
  • erase it;
  • withdraw consent; and
  • have grievances addressed.

You may also nominate another person to exercise these rights on your behalf if you die or become incapacitated.

Write to the contact in clause 12 below; we will respond within 30 days.

10

Clause 10. Children#

Our services are for businesses and adults. We do not knowingly collect personal data of anyone under 18 without verifiable parental consent. If we have done so by mistake, contact us and we will delete it.

11

Clause 11. Marketing Campaigns and Client Data#

When running campaigns, we may handle audience lists, lead-form responses or customer data supplied by Clients. Clients must have obtained valid consent to share such data with us and the ad platforms. We use it only for the agreed campaign and delete it after the engagement ends unless the Client directs otherwise.
